Duties and Responsibilities: – Perform Incorporations, amendments, dissolutions, revivals, wind-ups, continuances, and amalgamations; – Prepares, files and manages maintenance of business name registrations for partnerships, sole proprietorship, limited partnerships and corporations; – Assist with rollovers, corporate reorganizations, financings, and estate freezes; – Organize, maintain, and update corporate files and records in an electronic entity management system; – Minute-book review and maintenance; – Supporting transaction teams in asset/share purchase and sale transactions and closings; – Preparing and filing all registrations, amendments and returns required under applicable legislation; – Liaising with lawyers, clients and agents while providing high-quality, professional service; – Conduct minute book and corporate records reviews, prepare rectification recommendations and necessary documentation; and – Additional duties as needed. Requirements: – 5 years of experience as a Corporate Law Clerk working in a law firm; – Law Clerk diploma from an accredited institution; – Strong proficiency with MS Office Suite; – Ability to prioritize and meet urgent deadlines; – Demonstrative analytical skills, good judgment, and a and high attention to detail; – Excellent interpersonal, organizational, and communication skills (written and verbal); – Ability to maintain strict confidentiality with high ethical standards; and – Capable of working well in a team as well as independently when required.
